Terms of Service
The agreement that applies between you and Exolavario when you use this site or purchase a service through it. Please read it before checking out.
01What these terms cover
These terms are a binding agreement between you and Exolavario that governs this website and each service purchased through it. You accept them by browsing the site, opening an account or paying for a service. They are an electronic record under the Information Technology Act, 2000.
When you place an order, you confirm that you are 18 or older and that you have authority to act for the business on whose behalf you are ordering.
Where you and we have signed a separate written contract or master services agreement, or we have countersigned your purchase order, that document takes precedence over these terms to the extent of any conflict. These terms continue to apply to anything it does not address.
02Your contracting party
You are contracting with EXOLAVARIO TECH PRIVATE LIMITED, registered at C-25, OLD PLOT NO-14, GALI NO-5, Guru Nanak Pura, Lakshmi Nagar, New Delhi, East Delhi, Delhi, 110092., GSTIN 07AAJCE8905A1ZT, trading as Exolavario.
We carry out the work as the service provider; we are not a marketplace or an intermediary. If we involve a specialist in part of a service, we stay responsible to you for the whole of the work.
03What a service is
A service is a single piece of technology work with a fixed scope and a fixed fee. Before you buy, its page sets out the deliverables, the timeline, what we need from you and the amount payable.
- Scope is the set of deliverables shown on the service page on the date of your payment. Anything not on that list falls outside the service.
- Deliverables are the outputs we hand to you, such as source code, infrastructure definitions, pipelines, design files, dashboards, test suites and documents.
- Kickoff is reached once we have your payment, your completed project brief and the access the service page requests.
- Handover is reached once every deliverable has been given to you along with written handover notes.
- Working day means Monday to Saturday, other than public holidays observed at our registered office.
Nothing sold on this site is a physical product, so nothing is shipped or couriered. Buying several units of one service repeats its scope instead of enlarging it: two units of a five-endpoint integration, for instance, cover ten endpoints rather than one bigger integration.
A service is not a purchase of a block of hours, a reserved team or a retainer. Nothing renews on its own, and no notice period applies.
04Accounts and orders
Checkout is available as a guest or through an account. If you use an account, keeping its password secure and everything done under it are your responsibility. Let us know promptly if you suspect unauthorised access. We may suspend an account that we reasonably believe is being misused, and we will explain why.
Putting a service in your selection does not create an order. An order is placed on completing checkout, and it is accepted only once the payment gateway confirms payment and we issue the order confirmation. Until that happens, there is no contract for the work.
We may turn down an order and refund it in full if:
- the service would not suit your needs, and we prefer to say so rather than accept payment;
- the details provided are incomplete, inaccurate or plainly test data;
- carrying out the work would breach the law, a platform policy or someone else’s rights;
- an error in a listing or price is spotted before kickoff;
- we are unable to staff the service within the stated timeline.
05Fees, GST and payment
- Every fee is stated in Indian Rupees and includes GST. You are charged the amount shown at checkout, and nothing is added afterwards.
- We issue a tax invoice showing the GST component and our GSTIN 07AAJCE8905A1ZT, based on the billing details you give. If you plan to claim input tax credit, enter your registered business name, address and GSTIN there.
- You pay by UPI via a payment gateway. Card numbers, UPI PINs and banking credentials never touch our servers.
- Work does not start until the gateway confirms payment. If the money has left your account but the order is still marked unpaid after 48 hours, send us the order number and UPI reference and we will reconcile it.
- Published fees can change at any time. The fee that applies to a service is the one shown when you paid.
- Any discount displayed is a reduction on our own published fee.
- Unless the service page states otherwise, third-party running costs are excluded: cloud usage, SaaS subscriptions, domain and certificate fees, app-store charges and paid API quotas are billed to you directly by those providers.
- If your organisation must issue a purchase order before paying, get in touch with the order details first. Catalogue checkout itself is paid in advance.
06Kickoff, delivery and acceptance
Every service page gives a timeline in working days. The timeline begins only once we have all three of the following: confirmed payment, your completed project brief, and the access listed on the service page.
- Delivery takes place remotely. Where relevant, work is delivered into your repositories and cloud accounts, and handover material is emailed to you and attached to the order in your dashboard.
- Handover comes with written notes on what was built, the key decisions, how to run it and its known limitations.
- If we foresee missing a date, we will let you know before that date, giving the reason and a new date.
Acceptance. You have 7 working days after handover to notify us in writing that something within the scope is missing or materially incorrect, and we will put it right. If you raise nothing in that time, or you begin using the work in production, the service is deemed accepted. Acceptance does not reduce any revision window or the defect remedy in clause 14.
The process is described more fully in our Delivery & Handover Policy.
07Revisions and change requests
If a service page includes a revision round, you can use it within the window that page states. A revision fine-tunes what was delivered so it matches the agreed scope, through corrections and adjustments. Please gather revision requests into a single consolidated list.
Revisions cannot be used to rewrite the brief retrospectively. Each of the following counts as new work rather than a revision:
- deliverables outside the published scope;
- a change in direction, platform, framework or design language once work is under way;
- requirements that were known at briefing but not shared with us;
- rework made necessary by changes to a third-party system on your side.
Change requests are quoted separately and in writing, each with its own fee and impact on the timeline. No extra work begins, and no extra charge is made, until you approve that quote in writing.
If, while working, we conclude that the scope you purchased will not achieve its aim, we will pause and tell you. You can then move to a different service or receive a refund under our Refund & Cancellation Policy.
08Your responsibilities
Keeping to a timeline relies on both parties. You agree to:
- give accurate business and billing details, along with an email address that you check;
- complete the project brief and supply the repositories, cloud accounts, environments, design files, sample data and access the service page lists;
- grant access at the lowest permission level the work requires, using your own single sign-on where it exists, and withdraw it after handover;
- name one person able to answer questions and approve decisions, and keep that person available throughout the service;
- reply to review requests and questions within 7 working days;
- confirm that any code, content, design, brand asset or data you supply is accurate and yours to share;
- use anonymised, masked or synthetic data wherever that is enough, and share live personal data only if the service needs it and a data processing agreement is in place;
- maintain your own backups, and review and test all work before it goes into production.
Whenever we are waiting on you, the timeline is paused and the delivery date shifts by the same length of time, without additional charge. If we are still waiting 30 days after our request, clause 16 applies.
09Intellectual property
Put simply, what we make specifically for you is yours, and the general tools we bring to the work remain ours.
- Your material. Any code, content, data, designs, trade marks and brand assets you supply stay yours. We are granted only the licence required to carry out the work, and it ends at handover.
- The work product. Once we receive the full fee, all rights, title and interest in the deliverables made specifically for you under that service — including source code, infrastructure definitions, pipeline configuration, design files, documentation and test suites — pass to you, worldwide and in perpetuity.
- Until the fee is paid in full, the deliverables stay ours and are licensed to you solely for evaluation. Putting unpaid work into production breaches these terms.
- Our pre-existing material. Whatever we owned before the service or build for general use — internal libraries, scaffolding, reference architectures, checklists, templates, methods and know-how — stays ours. We remain free to draw on the general skills and experience we gain while working with you.
- Where a deliverable contains our material, you are granted a perpetual, worldwide, royalty-free, non-exclusive licence to use, host, modify and sublicense it as part of that deliverable, which includes passing it to a successor business or a later supplier. You may not separate it out and sell it on its own.
- Open-source and third-party components stay subject to their own licences. We favour permissively licensed dependencies, record them and their licences in the handover notes, and will check with you before using any copyleft component.
- Publicity. We will not name you as a client, show your logo or describe your systems unless you give written permission.
This website’s design, copy, code and catalogue structure are ours and may not be copied or republished without permission.
10Confidentiality
Confidentiality binds both of us, starting from our very first conversation.
- Confidential information is anything either party shares that is marked confidential or that a reasonable person would regard as confidential, including source code, architecture, credentials, roadmaps, customer lists, commercial terms, security findings and unreleased work.
- Each party will use it solely to perform the service, disclose it only to people who need it for that purpose, and protect it with no less care than it gives its own confidential information.
- These obligations do not cover information that is public without any breach, was already held lawfully, is developed independently, or has to be disclosed by law or court order. In that final case, the party making the disclosure will notify the other beforehand unless it is prohibited from doing so.
- These obligations last for 3 years after the service ends, and without time limit for source code, security findings and trade secrets.
- Results of a security audit or penetration test are reported to you alone, and are never published, sold or disclosed to anyone without your written consent.
- If you would like a non-disclosure agreement signed before you share a brief, just ask.
Access to your systems should be limited in time and revoked at handover. Please avoid sending credentials by chat or email; use a secrets manager or your own identity provider instead.
11Personal data
Our handling of personal data about you — account, billing, order and brief data — is set out in our Privacy Policy, prepared with reference to the Digital Personal Data Protection Act, 2023.
If a service needs us to process personal data relating to your users, you remain the Data Fiduciary and we follow your documented instructions. We will then put a data processing agreement in place before work begins, covering purpose limitation, security measures, sub-processing, breach notification and deletion when the service ends.
12Third-party services and licences
- Cloud platforms, SaaS tools, APIs, app stores, registries, CI services and domain registrars are contracted by you, in your own name, and you pay them directly, so nothing has to be migrated if you stop working with us.
- We have no control over their availability, pricing, limits, policies or account decisions. We are not liable for outages, suspensions, breaking changes or price rises that third parties impose, although we will point out any risks we can foresee.
- If the work relies on a paid licence, plan or quota, the service page says so. Buying it is your decision and at your cost unless agreed otherwise in writing.
- Third-party licence terms — open source, commercial libraries, fonts, stock assets, AI model providers — bind you just as they bind us. We list them in the handover notes.
13Acceptable use
We will not build, host, operate or give advice on anything designed to:
- break Indian law, or the law of the place where the system will run;
- operate unlicensed gambling or lotteries, or deal in narcotics, weapons or counterfeit goods;
- create or spread malware, credential harvesters, botnets or ransomware;
- scrape or spam in breach of any other platform’s terms, or send bulk messages nobody asked for;
- track, profile or surveil identifiable people without both a lawful basis and their knowledge;
- host material that exploits children, or any other unlawful material;
- put forward misleading financial, medical or investment claims;
- infringe the intellectual property, privacy or publicity rights of any person.
You further agree not to probe, overload, reverse engineer or interfere with this website, scrape its catalogue, or use it to place fraudulent orders.
If we discover our work being used in any of these ways, we will stop at once and report it where the law requires. In that case, no refund is due for work already carried out.
14Warranties and exclusions
Our warranties.
- People experienced in the relevant technology will carry out the work with reasonable skill and care.
- At handover, the deliverables will conform in all material respects to the scope published on the service page.
- We are entitled to grant the rights set out in clause 9 and, so far as we know, the work product does not infringe any third party’s intellectual property.
Defect remedy. If you notify us, within 15 days of handover, of a material defect caused by our work (and not by a change on your side), we will fix it free of charge. That fix — or, where it cannot be fixed, a refund under our Refund & Cancellation Policy — is your primary remedy.
What falls outside our warranties.
- That any software is completely free of defects.
- That the work will keep functioning unchanged as operating systems, runtimes, browsers, cloud services and third-party APIs evolve.
- Any commercial or operational result, such as revenue, conversion, uptime, latency, search ranking, funding or cost savings.
- That a security review, audit or test will uncover every vulnerability. An assessment records what was found within the agreed scope and time; it is not a certificate of security.
- That this website or the dashboard will always be available without interruption.
So far as the law allows, every other warranty, condition and term implied by statute or common law is excluded.
15Limitation of liability
- Our total aggregate liability arising out of or in connection with a service, on any basis, is capped at the amount you actually paid for that service.
- Neither party is liable for any indirect or consequential loss, including lost profit, revenue, data or goodwill, business interruption, wasted management time or anticipated savings.
- We are not liable for loss resulting from your failure to keep backups, test before release, keep dependencies patched after handover, or act on a risk we raised in writing.
- Any claim must be made within 12 months of the handover date of the relevant service.
These terms do not limit any liability that applicable law does not allow to be limited, including liability for fraud, wilful misconduct, gross negligence, or death or personal injury caused by negligence. Your statutory rights as a consumer remain unaffected.
16Suspension and termination
You can stop buying from us whenever you wish. There is no minimum term, no automatic renewal and no notice period.
We may pause work on a service, or bring it to an end, if:
- a payment fails, is reversed or becomes the subject of a chargeback;
- information, approvals or access we asked for are still outstanding 30 days after the request;
- there has been a breach of clause 13;
- carrying on would place us in breach of the law or a professional obligation;
- either party becomes insolvent or stops trading.
On termination, fees earned for work already done remain payable, and anything paid for but not delivered is refunded under our Refund & Cancellation Policy. Paid work in progress is handed over as it stands, documented to the extent it has reached, and our access to your systems is removed. Clauses 9, 10, 11, 14, 15 and 18 continue to apply after termination.
17Force majeure
Neither party is liable for any delay or failure caused by events outside its reasonable control, including natural disaster, fire, flood, epidemic, war, civil unrest, government action, failure of national power or telecommunications infrastructure, a major cloud or internet outage, or industrial action (other than by the affected party’s own staff).
The affected obligations are suspended while the event lasts, and we will promptly let you know what has happened and how your timeline is affected. If the event lasts for more than 30 consecutive days, either party may end the affected service in writing, and we will refund the fee for anything not yet delivered.
18Governing law and disputes
The laws of India govern these terms and any dispute arising from them.
Please use our grievance redressal process before taking formal action. If the matter is not resolved that way, both parties will try in good faith to settle it within 30 days of a written notice of dispute.
If that fails, the courts with jurisdiction over our registered office (the address in clause 2) have exclusive jurisdiction. Nothing in these terms takes away your right to approach a consumer commission under the Consumer Protection Act, 2019.
19General provisions and changes
- Notices. Any notice under these terms must be given in writing, by email to info@exolavarioo.com, or by post to our registered address.
- Assignment. You may not assign this agreement without our written consent, which we will not withhold unreasonably. We may assign it to a successor to our business without affecting your rights.
- Subcontracting. If we engage a specialist for part of a service, we stay responsible for their work as though it were our own.
- No partnership. These terms do not create any partnership, joint venture, agency or employment relationship.
- Non-solicitation. Neither party will solicit the other’s staff who worked on a service, either during it or for 6 months after it. Answering a public job advertisement does not count as solicitation.
- Severability. If any clause is found unenforceable, the remainder stays in force and that clause is limited only to the extent necessary.
- No waiver. Choosing not to enforce a right on one occasion does not waive it.
- Entire agreement. These terms, the service page you purchased from, and any document signed by both parties make up the entire agreement. Spoken statements form no part of it unless confirmed in writing.
- Language. The English version of these terms takes precedence.
- Changes. We may update these terms. An order is governed by the version published when it was placed, and the date at the top of this page shows the current version. Material changes are flagged on this page.
